Overview of Need

A venture capital investor is seeking an experienced Commercial & Operational Due Diligence Lead to provide independent buy-side diligence on a UK-based software / SaaS business with ~£40m revenue. The successful candidate will assess commercial performance, operational capability, scalability, and key investment risks, producing actionable insights to support the investor’s decision-making. This role is ideal for someone with strong SaaS sector experience, transaction advisory background, and a track record of delivering high-quality, investor-ready due diligence.

Key Responsibilities

  • Conduct Commercial Due Diligence, evaluating market position, customer segmentation, revenue quality, retention, growth assumptions, and sales strategy.
  • Perform Operational Due Diligence, reviewing operating model, technology and product organisation, delivery and onboarding capability, KPIs, and scalability.
  • Identify key commercial and operational risks, dependencies, and capability gaps.
  • Validate management growth assumptions and investment readiness.
  • Produce investor-grade deliverables including CDD and ODD assessments, risk & mitigation analysis, revenue quality review, and recommendations.

Candidate Profile – Essential Experience

  • Significant experience in transaction advisory, strategy consulting, or PE/VC diligence.
  • Proven track record delivering Commercial and Operational Due Diligence in software / SaaS businesses.
  • Strong understanding of SaaS metrics: ARR, MRR, CAC, LTV, churn, and net revenue retention.
  • Experience supporting investment rounds, M&A, or private equity transactions.
  • Strong analytical skills with the ability to rapidly assess business performance and risks.
  • Excellent written communication, producing clear, investor-ready reports.

Reporting Line

  • Works closely with CEO, CFO, senior leadership team, and external advisors where relevant.
