Overview of Need

The business is a high-performing B2B SaaS company based in the South East, generating strong recurring revenues and consistently growing EBITDA. Having delivered sustained growth under private equity ownership, the company is now entering a significant new chapter involving an ownership transition and renewed focus on long-term value creation. The Board is seeking a Non-Executive Director to strengthen governance and strategic capability at this pivotal stage. This role will support the leadership team through transition, helping to ensure the business remains investment-ready, strategically flexible, and well positioned for future growth and liquidity options.

Key Responsibilities

  • Act as a trusted sounding board to the CEO and executive leadership team.
  • Provide independent oversight and contribute to Board-level decision-making.
  • Support the business through ownership transition and evolving shareholder structure.
  • Help refine the long-term strategic and value creation plan.
  • Challenge strategic and investment decisions through an investor and acquirer lens.
  • Support capital allocation, prioritisation, and disciplined growth planning.
  • Contribute to investment readiness and future transaction preparation.
  • Ensure governance and reporting discipline appropriate for a scaling SaaS business.

Candidate Profile – Essential Experience

  • Senior leadership or board-level experience in SaaS, technology, or scale-up environments.
  • Experience in PE-backed businesses, ownership transitions, MBOs, refinancing, or exits.
  • Strong commercial judgement with the ability to challenge constructively.
  • Experience supporting leadership teams through strategic change and growth phases.
  • Ability to build trusted relationships with executives, shareholders, and stakeholders.
  • Collaborative, pragmatic style with strong business acumen.

Remuneration & Appointment

  • £4,000 per month.
  • Approx. 2 days per month commitment.
  • Four in-person Board meetings per year (expenses covered).
  • Initial term: 1–3 years, aligned to ownership transition and growth strategy.
