Overview of Need
A Midlands-based B2B software business is seeking a Non-Executive Director to support the company through a pivotal phase of growth. With recurring revenues, a clear product roadmap, and ambitions for external investment and leadership succession, the successful candidate will provide independent challenge, strategic insight, and mentorship to the executive team. This role is ideal for a senior leader or board-level professional who can strengthen governance, guide fundraising readiness, and help shape the organisation’s long-term growth and leadership capability.
Key Responsibilities
- Provide strategic oversight and constructive challenge to the executive team.
- Support preparation for fundraising, including investor readiness, narrative, and governance.
- Bring experience of capital raises (private equity, venture, growth capital, or strategic investment).
- Contribute to succession planning, leadership development, and organisational resilience.
- Strengthen Board governance, decision-making, and risk management.
- Act as a sounding board to the CEO and Chair during a period of change.
Candidate Profile – Essential Experience
- Senior leadership or board-level experience within B2B software, SaaS, or technology-enabled businesses.
- Direct experience of raising capital, investor engagement, or preparing businesses for investment.
- Strong understanding of succession planning, leadership transition, or management team evolution.
- Commercially astute with the ability to balance growth ambition with operational discipline.
- Prior Non-Executive or board experience, with confidence to challenge constructively.
Remuneration & Appointment
- Approximately 2–3 days per month, with additional engagement during fundraising.
- Competitive NED fee, with opportunity for equity participation aligned to long-term value creation.
- Quarterly board meetings with ad hoc involvement as required.
