Terms of Service (“Terms”) apply to all services provided by Advance Services Group Ltd, a company registered in England and Wales (Company Number: [Insert Number]), whose registered office is at [Insert Address] ("ASG", "we", "us", or "our"), to clients engaging in the NedMaker programme.

By engaging with our services, you ("Client", "you") are entitled to receive all of the prescribed support and are equally bound by the terms of the service.

1. Description of Services

ASG provides consultancy and strategic support to individuals seeking Non-Executive Director (NED) roles via the NedMaker programme. Services may include but are not limited to:

• Goal and strategy definition
• NED profile and CV enhancement
• Engagement strategy execution (e.g., LinkedIn, outreach, introductions)
• Role engagement support
• Cohort-based education and preparation

Each programme is tailored and structured based on mutually agreed goals.

2. Eligibility & Acceptance

• Participation in the NedMaker programme is subject to a screening process.
• ASG reserves the right to accept or decline applicants based on alignment with programme standards and perceived market demand.
• By entering the programme, you confirm that you are over 18 and legally capable of entering a binding contract.

3. Fees & Payment

• Fees are outlined in your engagement agreement and are due as stated in your invoice.
• All prices are quoted in GBP and may be subject to VAT where applicable.
• Payment must be made via approved payment methods and within the specified terms (usually [e.g., 14 days]) and prior to any consultancy engagement or introductions being facilitated

4. Nature of Engagement

• NedMaker is a consultancy service, not a membership.
• No guarantees are made regarding the timing of NED role appointments.
• ASG will support outreach and engagement aligned with the defined goals but is not liable for outcomes outside its control (e.g. third-party decisions, market dynamics).
• Support will continue, based on the programme level entered, until the desired outcome is achieved

5. Service Duration

• Services commence upon acceptance into the programme and continue an ongoing basis unless otherwise agreed.
• The Client may not unilaterally pause or defer the programme without written agreement from ASG.
• The programme is based on the NED screened and engaged with, as such the participant cannot pass the programme access to another nominated individual or expert.

6. Cancellation & Refunds

• Due to the bespoke and time-intensive nature of the service, refunds are not offered once onboarding has commenced.
• Exceptional circumstances may be considered at ASG’s discretion.

7. Confidentiality

• All information shared between the Client and ASG is treated as confidential unless expressly agreed otherwise.
• Client profiles may be shared with prospective parties only where there is a legitimate interest or explicit Client consent.

8. Inbound Role Introductions

• For inbound role requests or waitlisted introductions, ASG reserves the right to charge the acquiring party a success-based fee, separate from the Client’s engagement fee paid at programme commencement.

9. Limitation of Liability

• ASG shall not be liable for indirect, incidental, or consequential losses, or for lost opportunities or earnings.
• Our liability shall be limited to the total amount paid by the Client for the services provided.

10. Intellectual Property

• All materials provided during the programme remain the intellectual property of ASG unless otherwise agreed in writing.
• Clients may not reproduce or distribute ASG content without permission.

11. Data Protection

• ASG complies with the UK GDPR and Data Protection Act 2018.
• Personal data will be processed in line with the NDA signed and agreement at commencement

12. Governing Law & Jurisdiction

• These Terms shall be governed by the laws of England and Wales.
• Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
